<br />ORIGINAL <br /> <br />LICENSE AGREEMENT <br /> <br />405 Broadway Street, Redwood City, CA <br /> <br />This License Agreement (the "License"), dated as of November 3, 2005, is made <br />between The Board of Trustees of the Leland Stanford Junior University, a body <br />having corporate powers under the laws of the State of California ("Licensor"), whose <br />address is c/o TMG Partners, 2685 Bay Road, Redwood City, CA, 94063, and The City <br />of Redwood City ("Licensee"), whose address is 1017 Middlefield Road, Redwood City, <br />California 94063. <br /> <br />Licensor and Licensee hereby agree as follows: <br /> <br />1. <br /> <br />LICENSE AND RENT. Licensor hereby grants to Licensee a revocable license <br />to use that certain space more particularly described in Exhibit A attached <br />hereto and incorporated by reference herein (the "Licensed Area") solely for the <br />uses described in Section 2 below. The term of this License (the "Term") shall <br />begin on November 3, 2005 (the "Commencement Date"), and shall expire on <br />January 20, 2006 (the "Expiration Date"), subject to Licensor's right to revoke <br />this License on thirty (30) days prior written notice to Licensee. This License <br />shall become effective on and as of the Commencement Date or on such later <br />date on which this License has been executed by both Licensor and Licensee. <br />During the Term of this License, Licensee shall not be required to pay any <br />monthly rental to Licensor; provided, however, Licensee shall be responsible for <br />such costs and expenses as are expressly provided for elsewhere in this <br />License. <br /> <br />2. <br /> <br />USE. Licensee shall use the Licensed Area for the storage of toys for the annual <br />Redwood City PAL Toy Drive, and for sorting, wrapping and packaging such <br />toys, and for no other purposes. To facilitate the delivery of toys to and from the <br />Licensed Area, Licensee shall also be permitted to locate in the parking area <br />adjacent to the Building at the locations designated by Landlord on Exhibit A <br />with an "X" up to three (3) storage pods having a dimension no greater than 16 <br />feet x 9 feet x 8 feet. Licensee shall not use the Licensed Area for residential <br />purposes, or the storage of flammable materials, or for any unlawful purpose. <br />Licensee shall not permit the accumulation of refuse, or dispose of liquid or other <br />waste, in or about the Licensed Area, nor cause or permit any nuisance or other <br />condition or act that may interfere with the use of the surrounding space by other <br />occupants. <br /> <br />3. <br /> <br />"AS-IS" CONDITION. Licensor shall deliver the Licensed Area to Licensee in its <br />"as-is condition" on the Commencement Date (or on such later date as this <br />License shall become effective) and Licensee hereby accepts the Licensed Area <br />in such condition. Licensee acknowledges that Licensor has no obligation to <br />improve or otherwise alter the Licensed Area at any time during the License <br />Term, or to maintain or repair the Licensed Area or any other areas of the <br />building in which the Licensed Area is located. Licensee shall not make any <br />alterations or improvements of any kind to the Licensed Area without first <br />obtaining Licensor's prior written consent, which consent may be given or <br />withheld in Licensor's sole discretion. Licensee shall, at its own expense and at <br />all times, maintain the Licensed Area in the same condition as when the <br />Licensed Area was delivered to Licensee by Licensor, and Licensee shall be <br />responsible for maintaining the Licensed Area in a safe condition at all times. <br /> <br />PAl52172147.4 <br />
