I- <br />1. Incorooration of Recitals. The foregoing Recitals are true and correct and incorporated into <br />this Termination Agreement by this reference. <br />2. Termination of Agreement. City and Company hereby acknowledge and agree that upon <br />recordation of this Termination Agreement in the Official Records of San Mateo County, California, the <br />Subdivision Improvement Agreement shall (a) be of no further force and effect, and (b) no longer affect <br />record title to Bair Island Marina. <br />3. Effective Date. This Termination Agreement shall be deemed effective as of the date of <br />recordation hereof in the Official Records of San Mateo County, California. <br />4. Counterparts. This Termination Agreement may be executed in one or more counterparts, <br />each of which shall be deemed an original, but all of which shall constitute one and the same instrument. <br />5. Governing Law.
