ORIGINAL <br />AMENDMENT NO. 1 TO EXTEND AND AMEND AGREEMENT FOR <br />GENERAL SERVICES <br />(ACTIVE WELLNESS LLC) <br />This Amendment No. 1 is entered into and effective as of the 7th day of August, <br />2019, extending and amending the agreement dated 7th day of August, 2018, by and <br />between the City of Redwood City, a charter city and municipal corporation of the State <br />of California ("City"), and Active Wellness, a California limited liability company, <br />("Consultant') (collectively, the `Parties") for monthly customized classes in which <br />firefighters learn strategies to reduce on-the-job stress and develop functional fitness to <br />perform their job safely, effectively and routinely, while reducing the likelihood of <br />sustaining an injury. <br />RECITALS <br />A. On August 7, 2018, the Parties executed a General Services Agreement <br />(the "Agreement'); and <br />B. The Parties have negotiated and agreed to amendments to the <br />Agreement, attached to and incorporated in by reference as Exhibit "A," Scope of <br />Services and Fee. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. That the Agreement, is hereby extended for a period of one year ending <br />on August 7, 2020. <br />2. In addition to those services contained in the Agreement, Consultant will <br />provide those services described in Exhibit "A." <br />3. City will pay Consultant for all work associated with those services <br />described in Exhibit "A" a not to exceed amount of Twenty Three Thousand Seven <br />Hundred and Sixty Dollars ($23,760) for an aggregate amount not to exceed Forty Five <br />Thousand Three Hundred and Sixty Dollars ($45,360). <br />3. All other provisions of the Agreement, as may have been amended from <br />time to time, will remain in full force and effect. <br />4.
