IMPROVE' MENT AGREEMENT 275 Oracle Parkway ASATHISIMP OVEMENT AGREEMENT ("Agreement") is made and entered into as of day of , 2016 ("Effective Date") by and between CENTRUM OWNERS AS OCIATIO a Ca fornia nonprofit corporation ("COA") and ORACLE AMERICA, INC., a Delaware corporatio*("OAI" and together with COA, the "Developer"), on the one hand, and the CITY OF REDWOOD CITY, a charter city and California municipal corporation ("City"), on the other hand, with reference to the following facts: RECITALS A. COA is the current fee owner of that certain real property consisting of approximately 4.82 acres located within the City of Redwood City, County of San Mateo, State of California, described in Exhibit A, attached hereto and incorporated herein by reference (the "Property"). COA has appointed OAI as its agent in connection with obtaining the necessary governmental approvals for the proposed development of the Property, including, without limitation, the approvals specified below, and to undertake on behalf of COA all actions relating to such development. Further, COA intends to convey the Property to OAI once such approvals have been obtained so that OAI shall proceed with constructing improvements on and operating the Property. B. On May 3, 2016, the Planning Commission of the City of Redwood City adopted, among other approvals, Resolution No. 16-07, approving the Tentative Map for the 275 Oracle Parkway Project ("Project"), prepared by BKF Engineers and Surveyors and dated April 19, 2016 ("Tentative Map"), subject to certain conditions of approval ("Conditions"). C. The Conditions require either (1) that certain public improvements for the Project be constructed prior to approval of the parcel map ("Parcel Map"), or (2) that Developer enter into an agreement with City providing for the future construction of certain public improvements for the Project. D. Developer has submitted the Parcel Map and applied to City for Parcel Map approval without having completed the required public improvements and, therefore, will enter REV. 06-22-16 J5 Page 1 of 15 ATTYIAGR.2016.1591Centrum Owners Association - IA
