ORIGINAL AMENDMENT NO. 1 TO LICENSE AGREEMENT BETWEEN THE CITY OF REDWOOD CITY AND DEVCON CONSTRUCTION INC. This Amendment No. 1 is entered into and effective as of the __a day of December, 2018, extending the agreement dated August 13, 2018 (the "Agreement') by and between THE CITY OF REDWOOD CITY, a charter city and municipal corporation of the State of California ("CITY"), and DEVCON CONSTRUCTION INC. ("LICENSEE") (collectively, the "Parties"). RECITALS A. CITY and LICENSEE previously entered into the Agreement, allowing Licensee to use the City Property for construction work parking of up to 60 spaces, as shown on Exhibit B of the Agreement (License Area). B. The Agreement will expire on December 31, 2018. C. LICENSEE now desires an extension of time for the continued use of the City's Property for construction worker vehicle parking, and CITY has determined that extending the temporary use proposed by LICENSEE provides a common benefit to the Downtown area. D. CITY is also concurrently providing a license to the County of San Mateo for their shared use of the License Area for 30 spaces of vehicle parking (as shown on Exhibit B of the Agreement). E. CITY is willing to extend the term of the Agreement on the terms set forth herein. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. The Agreement, as may have been amended from time to time, is hereby extended for a period of six (6) months ending on June 30, 2019. 2. All other provisions of the Agreement, as may have been amended from time to time, shall remain in full force and effect. 3. All requisite insurance policies to be maintained by the Licensee pursuant to the Agreement, as may have been amended from time to time, shall include coverage for this Amendment. 4. The individuals executing this Amendment and the instruments referenced on behalf of LICENSEE each represent and warrant that they have the legal power, right and actual authority to bind LICENSEE to the terms and conditions hereof of this Amendment.
