AGREEMENT FOR LEGAL SERVICES BETWEEN CITY OF REDWOOD CITY AND HANSON, BRIDGETT, MARCUS, VLAHOS & RUDY, LLP This AGREEMENT FOR LEGAL SERVICES ("Agreement"), is entered into between the CITY OF REDWOOD CITY, ("CITY"), and Hanson, Bridgett, Marcus, Vlahos & Rudy, LLP ("SPECIAL COUNSEL "). RECITALS WHEREAS, the CITY requires the services of outside special counsel in connection with analyzing its powers relative to certain real property law issues; and WHEREAS, SPECIAL COUNSEL is a general practice law firm which includes a specialty practice in representing public agencies in general and cities in particular; and WHEREAS, the CITY wishes to contract for the services of SPECIAL COUNSEL; and WHEREAS, SPECIAL COUNSEL hereto now wishes to enter into an agreement pursuant to its SPECIAL COUNSEL role to render professional legal services on behalf of the CITY. NOW, THEREFORE, it is mutually agreed by and between the parties as follows: 1. SCOPE OF SERVICES. SPECIAL COUNSEL agrees to provide legal services in connection with certain real property law issues. These services will include an analysis of the powers of CITY to engage in transactions involving real estate based upon facts and circumstances to be disclosed to SPECIAL COUNSEL at the outset of the engagement. SPECIAL COUNSEL represents that its personnel have the requisite background, experience and expertise to perform legal functions related to such issues. Work will be performed by or under the direction of David J. Miller, Esq., with assistance from Thomas B. Brown, Esq., who most recently served as the City Attorney for the City of Napa, California for twelve years. If and when appropriate, and subject to the concurrence of CITY, attorneys, paralegals, and legal research assistants at lower hourly rates may be deployed to handle work commensurate with their experience and expertise. 1
