<br />5. <br /> <br />6. <br /> <br />7. <br /> <br />costs incurred in a manner consistent with the City's internal guidelines for travel <br />expense reimbursement. <br /> <br />Reports and Maps to be Filed with City. <br /> <br />a. <br /> <br />Grantee shall file with the City, at the time of payment of the Franchise Fee, a <br />report of all Gross Revenues in form and substance as Exhibit D attached hereto. <br /> <br />b. <br /> <br />City and Grantee shall mutually agree, at the times and in the form prescribed, <br />such other reasonable reports with respect to Grantee's operations pursuant to this <br />Franchise. <br /> <br />c. <br /> <br />If requested by City, Grantee shall furnish to and file with City Manager the maps <br />maintained in the ordinary course of business of the location of all cable routing, <br />including trench routes, and Grantee shall file with City updates of such maps <br />annually, upon written request, if material changes have been made in the System. <br />Such information shall be provided in a read only electronic form so long as in a <br />computer aided software format consistent with the ordinary course of business <br />for a cable operator and franchising authority, and marked proprietary and <br />confidential. <br /> <br />Proprietary Information. The City agrees to treat any information disclosed and clearly <br />labeled by the Grantee as confidential and only to disclose it to those employees, <br />representatives, and agents of the City who agree to maintain the confidentiality of all <br />such information. The Grantee shall not be required to provide customer information in <br />violation of Section 631 of the Cable Act or any other applicable federal or state privacy <br />law. For purposes of this section, the terms "proprietary or confidential" include, but are <br />not limited to, information relating to the Cable System design, customer lists, marketing <br />plans, financial information unrelated to the calculation of Franchise Fees or rates <br />pursuant to FCC rules, or other information that is reasonably determined by the Grantee <br />to be competitively sensitive. In the event that the City receives a request under a state <br />"sunshine", public records or similar law for the disclosure of information the Grantee <br />has designated as confidential, trade secret or proprietary, the City shall notify Grantee of <br />such request and cooperate with Grantee in opposing such request. <br /> <br />Periodic Evaluation. <br /> <br />a. <br /> <br />City may require evaluation sessions not more than once every five (5) years <br />during the term of this Franchise, upon forty-five (45) days written notice to <br />Grantee. <br /> <br />b. <br /> <br />Topics which may be discussed at any evaluation session may include, but are not <br />limited to, application of new technologies, System performance, programming <br />offered, access Channels, facilities and support, municipal uses of cable, <br />Subscriber rates, customer complaints, amendments to this Franchise, judicial <br />rulings, FCC rulings, line extension policies and any other topics City deems <br />relevant. <br /> <br />28 <br />
