<br />1. <br /> <br />2. <br /> <br />indebtedness, or (ii) a transfer to an entity directly or indirectly owned or <br />controlled by Grantee. <br /> <br />b. <br /> <br />In the event Grantee chooses not to file FCC Form 394 when seeking approval of <br />a sale, transfer, assignment or change of control, Grantee shall file all necessary <br />contracts, agreements, and documentation required to understand the nature and <br />purpose of the transaction as well as appropriate evidence and information <br />regarding the legal, technical and financial qualifications of the proposed <br />transferee. <br /> <br />c. <br /> <br />In no event shall a sale, transfer, assignment or change of control be approved <br />without the transferee becoming a signatory to this Franchise and assuming all <br />rights and obligations thereunder, and assuming all other rights and obligations of <br />the transferor to the City including, but not limited to, any adequate guarantees or <br />other security instruments required by the City (outlined in Exhibit E attached <br />hereto ). <br /> <br />d. <br /> <br />No franchise may be transferred if City determines Grantee is in noncompliance <br />with the Franchise unless an acceptable compliance program has been approved <br />by City. The approval of any transfer, sale, assignment or change of control <br />pursuant to this section shall not be deemed to waive any of City's rights to <br />subsequently enforce noncompliance issues relating to this Franchise even if such <br />issues predated the approval, whether known or unknown to the City. <br /> <br />SECTION 10. <br />PROTECTION OF INDIVIDUAL RIGHTS <br /> <br />Discriminatory Practices Prohibited. Grantee shall not deny Service, deny access, or <br />otherwise discriminate against Subscribers or general citizens on the basis of race, color, <br />religion, national origin, ethnicity, sex, age, status as to public assistance, sexual <br />orientation, medical condition or disability. Grantee shall comply at all times with all <br />other Applicable Laws, and all executive and administrative orders relating to <br />nondiscrimination. <br /> <br />Subscriber Privacy. The Grantee shall comply with all applicable federal and state <br />privacy laws, including Section 531 of the Cable Act and regulations adopted pursuant <br />thereto. Grantee shall notify City of any material changes in its annual privacy <br />notification. City shall have authority to specifically enforce the provisions of this <br />section pursuant to the procedures set forth in Section 8.1. <br /> <br />38 <br />
