<br />REPORT <br /> <br />6.18 <br />Page 1 <br /> <br />To the Honorable Mayor and City Council <br />From the City Manager <br /> <br />March 13, 2006 <br /> <br />Subject <br />Approval of Waiver of Claims and Indemnification Agreement with the Metropolitan <br />Transportation Commission <br /> <br />Recommendation <br />Approve and authorize execution of Waiver of Claims and Indemnification Agreement <br />with the Metropolitan Transportation Commission, for City participation in the Regional <br />Signal Timing Program. <br /> <br />Background <br />The Metropolitan Transportation Commission (MTC) has selected Redwood City to <br />receive a grant for assistance under their Regional Signal Timing Program (RSTP). <br />The City will receive assistance from one of several consulting firms contracted by MTC <br />under this program. MTC will fund the consultant to provide assistance to revise the <br />timing of the ten traffic signals on Veterans Boulevard and Whipple Avenue to provide <br />improved signal coordination between intersections and reduce travel time and delay. <br />Estimated value of the RSTP grant assistance is approximately $20,000. <br /> <br />To receive the RSTP grant, the City is required to enter into an agreement with MTC to: <br />(1) waive any and all claims against MTC for any loss liability or damages resulting from <br />the agency's participation in the program; and (2) indemnify, hold harmless, and defend <br />MTC against any and all third party claims that may result from the Agency's <br />participation in the program. City must submit the signed Agreement to MTC in order to <br />participate in the project. <br /> <br /> <br />Alternative <br />If the City chooses not to enter the indemnification agreement with MTC, then the City <br />will not receive the RSTP grant assistance. Staff is not likely to have time to perform <br />the project in-house during the next year. <br /> <br />Fiscal Impacts <br />Negligible.
