ORIGINAL. <br />AMENDMENT NO. 1 TO <br />LICENSE AGREEMENT BETWEEN THE CITY OF REDWOOD CITY AND <br />SAN MATEO COUNTY <br />This Amendment No. 1 is entered into and effective as of the , day of <br />December, 2018, extending the agreement dated August 29, 2018 (the "Agreement") by <br />and between THE CITY OF REDWOOD CITY, a charter city and municipal corporation <br />of the State of California ("CITY"), and SAN MATEO COUNTY ("LICENSEE") <br />(collectively, the "Parties"). <br />RECITALS <br />A. CITY and LICENSEE previously entered into the Agreement, allowing <br />Licensee to use the City Property for County employee vehicle parking of up to 30 <br />spaces, as shown on Exhibit B of the Agreement (License Area). <br />B. The Agreement will expire on December 31, 2018. <br />C. LICENSEE now desires an extension of time for the continued use of the <br />City's Property for County employee vehicle parking, and CITY has determined that <br />extending the temporary use proposed by LICENSEE provides a common benefit to the <br />Downtown area. <br />D. CITY is also concurrently providing a license to Devcon Construction Inc. <br />for their shared use of the License Area for 60 spaces of vehicle parking (as shown on <br />Exhibit B of the Agreement). <br />E. CITY is willing to extend the term of the Agreement on the terms set forth <br />herein. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. The Agreement, as may have been amended from time to time, is hereby <br />extended for a period of six (6) months ending on June 30, 2019. <br />2. All other provisions of the Agreement, as may have been amended from <br />time to time, shall remain in full force and effect. <br />3. All requisite insurance policies to be maintained by the Licensee pursuant <br />to the Agreement, as may have been amended from time to time, shall include <br />coverage for this Amendment. <br />4. The individuals executing this Amendment and the instruments referenced <br />on behalf of LICENSEE each represent and warrant that they have the legal power, <br />right and actual authority to bind LICENSEE to the terms and conditions hereof of this <br />Amendment. <br />REV: 12-12-18 PR <br />Page 1 of 2 <br />ATTY/AGR.Amend No. 1 /San Mateo County <br />
