ORIGIN 4� AMENDMENT NOA TO PURCHASE AGREEMENT FOR GOODS AND COMMODITIES Graniterock Company This Amendment No.1 is entered into and effective as of the 30 day of APcii► , 2019, amending the agreement dated September 17, 2018 (the "Agreement") by and between the City of Redwood City, a charter city and municipal corporation ("City"), and Graniterock Company, a California corporation, ("Vendor") (collectively, the "Parties") for the purchase of asphalt aggregate materials. RECITALS A. On September 17, 2018, the Parties executed a Purchase Agreement for Goods and Commodities; and B. The Parties have negotiated and agreed to a supplemental fee schedule, which is attached to and incorporated by this reference as Exhibit "A," Fee Schedule. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Vendor will continue to provide those Goods described in the Agreement. 2. The total amount of purchases under this Amendment shall not exceed One Hundred Twenty -Five Thousand Dollars ($125,000), for an aggregate contract amount of Two Hundred Fifty Thousand Dollars ($250,000). The purchase price for the Goods shall be on a cost per material basis, as delineated in Exhibit A. 3. Vendor will provide all Goods by September 17, 2019. 4. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 5. All requisite insurance policies to be maintained by Vendor pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment. 6. The individuals executing this Amendment and the instruments referenced in it on behalf of Vendor each represent and warrant that they have the legal power, right and actual authority to bind Vendor to the terms and conditions of this Amendment.
