REV: 09-28-2022 RL <br />AMENDMENT NO. 3 <br />TO AGREEMENT FOR SERVICES <br />Lockworks Unlimited, Inc. <br />This Amendment No.3 (the “Amendment No. 3”) is entered into and effective as of <br />_________________, 2022, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and Lockworks Unlimited, Inc., a <br />California corporation (“Contractor”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain General Services Agreement, <br />dated as of September 20, 2018, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”), dated as of September 20, 2020. <br />C. The Parties previously executed Amendment No. 2 to the Original <br />Agreement (“Amendment No. 2”), dated as of December 28, 2020 (the “Original <br />Agreement” and “Amendments No. 1 and 2” are collectively known as the “Agreement”) <br />D. While the Agreement expired on September 20, 2022, the Parties continued <br />to work together to ensure continuation of Services. The Parties now wish to renew <br />implementation of the Agreement as amended by this Amendment No. 3, and authorize <br />the payment to the Contractor for Services rendered for the period between September <br />20, 2022 and the effective date of this Amendment No. 3. <br />E. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 3. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Contractor a not-to-exceed amount of Two Hundred Thousand <br />Dollars ($200,000) for the completion of all the services described in Exhibit “A” of the <br />Agreement, which sum will include all costs or expenses incurred by Contractor. <br />Including all amendments through Amendment No. 3, the total amount payable under the <br />Agreement will be a not-to-exceed amount of Four Hundred Ninety Thousand Dollars <br />($490,000). <br /> <br />2. Unless terminated earlier, the term of this Amendment No. 3 will be a period <br />of two years from September 20, 2020. Including all amendments, through Amendment <br />No. 3, the total term of this Agreement is six years from the Effective Date of the <br />Agreement. <br />3.
