D. - Page 4 <br />AMENDMENT NO. 2 TO EXTEND AND AMEND AGREEMENT FOR <br />PROFESSIONAL SERVICES <br />(CSG CONSULTANTS, INC.) <br />This Amendment No. 2 is entered into and effective as of the day of <br />2018, extending and amending the agreement dated <br />February 20, 2018 and amended on May 11, 2018, by and between the City of <br />Redwood City, a charter city and municipal corporation of the State of California ("City"), <br />and CSG Consultants, Inc., ("Consultant") (collectively, the "Parties") for on call <br />construction inspection services. <br />RECITALS <br />A. On February 20, 2018, the Parties executed the Agreement for <br />Professional Services — CSG Consultants, Inc. ("Original Agreement"); and <br />On May 11, 2018, the Parties executed Amendment No. 1 to Agreement for <br />Professional Services — CSG Consultants, Inc. ("Amendment No. 1 ";the Original <br />Agreement and Amendment No. 1 are collectively referred to herein as the <br />"Agreement"); and <br />B. The Parties have negotiated and agreed to additional on-call construction <br />inspection services, the payment for which would exceed the maximum dollar amount of <br />the Agreement. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. That the Agreement is hereby extended for a period of 6 months ending <br />on June 30, 2019. <br />2. In exchange for additional on call construction inspection services as <br />described in Exhibit "A" of the Agreement, City will pay Consultant a not -to -exceed <br />amount of Ninety Eight Thousand Eight Hundred and No/100 dollars ($98,800.00), for <br />services performed under Amendment No. 2, for an aggregate amount of Three <br />Hundred Twenty Seven Thousand Six Hundred and No/100 Dollars ($327,600.00). <br />Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed <br />to include hours performed, hourly rates, and related activities and costs for approval by <br />City. <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4.
