Reports and Documents; Payment <br /> <br />In the event of termination, Contractor shall deliver to City copies of all <br />reports, documents and other work performed by Contractor under this <br />agreement and upon receipt thereof, Contractor shall be paid for duties <br />performed and reimbursable expenses incurred to the date of termination. <br /> <br />SECTION 14. DAMAGE OR DESTRUCTION <br /> <br />A. Partial Destruction <br /> <br />1. In the event of partial destruction of the a Parking Facility, City shall repair <br />such damage, provided that the following conditions exist: <br />a. such repairs can be made within 180 working days; <br /> <br />b. The cost of such repairs is covered under an insurance policy <br />required to be maintained pursuant to this Agreement. <br /> <br />2. In the event of such partial destruction, this Agreement shall continue in <br />full force and effect. Should portions of the affected Parking Facility <br />continue to operate, Contractor shall be paid and reimbursed for expenses <br />proportionally to services provided. Provided, however, in the event of <br />partial destruction of the Parking Facility which cannot be repaired within <br />180 working days or which is not covered by an insurance policy required <br />to be maintained hereunder, City may, at its option, either: <br /> <br />a. <br /> <br />Repair such damage as soon as reasonably possible, in which <br />event this shall continue in full force and effect; <br /> <br />b. <br /> <br />Terminate this Agreement by giving written notice to Contractor, <br />within 30 days after the date of the partial destruction, of City's <br />intention to terminate, in which event this Agreement shall be <br />deemed terminated as of the date of the partial destruction. <br /> <br />B. Total Destruction <br /> <br />If a Parking Facility is totally destroyed from any cause, whether or not <br />covered by the insurance required hereunder, City may terminate this <br />Agreement upon notice to Contractor. <br /> <br />C. Damaqe Near End of Term <br /> <br />If a Parking Facility is partially destroyed during the last 12 months of the term <br />of this Agreement from any cause, whether or not covered by the insurance <br /> <br />23 <br /> <br />
