ORIGINAL <br />DOCKTOWN <br />LANDSIDE LICENSE AGREEMENT <br />This Docktown Landside License Agreement (this "Agreement') made and entered into <br />this __%y_ day of October 2018 by and among 1548 Maple, LLC, a Delaware limited liability <br />company ("Owner") and the City of Redwood City ("City") bears the following recitals. Owner <br />and City are sometimes collectively referred to herein as the "parties" and individually as a "party." <br />RECITALS <br />A. By virtue of a grant from the State Lands Commission, the City owns and controls the <br />water ("Redwood Creek") and some land adjacent to the property located at 1548 Maple <br />Street, Redwood City, California (commonly referred to as "Docktown"). <br />B. There are currently various boat and floating houses, including house boats, live-aboards <br />and sailboats, located at the marina along Redwood Creek ("Marina"), Owner of which are <br />referred to as `Boatowners". <br />C. Owner owns the Property, depicted in Exhibit A, attached hereto and incorporated by <br />reference herein. <br />D. Owner intends to develop the Property and has determined that requires the Property be <br />cleared of all tenants, subtenants and encumbrances. <br />E. The City has requested a temporary license for the use of portions of the Property for the <br />Marina. <br />F. Owner and the City now desire to enter into a month to month license agreement to allow <br />for temporary use of the Property, which shall terminate and supersede any other City <br />license for the Property, all as set forth below. <br />NOW THEREFORE, the parties hereto agree as follows: <br />1. Owner grants the City a temporary license (the "License") to use portions of the <br />Property (such portions, the "Premises") during the term of the Agreement solely for the purposes <br />of (A) managing the Marina and allowing the Boatowners to use portions of the Property for the <br />following limited purposes: (1) to gain access to the Marina and their boats; (2) parking their <br />personal passenger vehicles Tess than 20 feet in length; and (3) the tie-ins into utilities serving the <br />Property that exist as of the effective date of this Agreement; and (B) pedestrian and bicycle access <br />to within an approximately eight (8) foot wide area depicted on Exhibit A as "Temporary Bike & <br />Pedestrian Access." The map attached hereto as Exhibit A depicts as the "Temporary Access <br />Area" the only portion of the Property that Boatowners may use for access and parking. All rights <br />of the Boatowners to use the Premises shall be subject to the terms and provisions of this <br />Agreement (the "Sublicenses"). For avoidance of doubt, all Sublicenses, regardless of whether or <br />not they preexisted the effective date of this Agreement, shall automatically terminate upon the <br />expiration or termination of this Agreement.
