17. NOTICE. CITY is entering into this Agreement in consideration of the <br />rendition of the services required herein by CONSULTANT. CONSULTANT will not <br />assign any of the duties, responsibilities, or obligations of this Agreement to any other <br />firm, company, entity, or individual, except with the express written consent of CITY. <br />Nothing set forth in this Section will preclude CONSULTANT from assigning any of the <br />monies due and owing to him/her/it from CITY. <br />19. AMENDMENT. This Agreement constitutes the entire agreement of the parties <br />concerning the subject matter hereof and all prior agreements or understandings, oral or <br />written, are hereby merged herein. This Agreement will not be amended in any way <br />except by a writing expressly purporting to be such an amendment, signed and <br />acknowledged by both of the parties hereto. <br />20. THIRD PARTY BENEFICIARIES.
