6.1.C. - Page 9 <br />Alternatively, when a material breach of this Agreement occurs as set forth herein, City in its <br />sole discretion may elect to hire a Substitute Contractor to provide its planned maintenance <br />and/or a rapid response to make as needed repairs and/or provide emergency services. In this <br />case, the parties may mutually agree that in lieu of early termination of the Agreement, <br />Contractor will make the City whole by paying the difference between the charges for its <br />services and the charges for the services of the Substitute Contractor. in addition the Contractor <br />will pay a fee to compensate the City for the additional staff time spent securing a Substitute <br />Contractor. The fee shall be calculated by the hourly rate of the employee who performed the <br />search at a rate not to exceed fifty dollars ($50) an hour and for no more than ten (10) hours of <br />work. <br />IN WITNESS HEREOF, the parties have caused their authorized representatives to <br />execute this Agreement on , 2018.
