6.D. - Page 10 of 70 <br />Second Amendment to Law Enforcement Equipment <br />Master Price Agreement <br />Pricelist & Product Adjustment <br />This Amendment to the Master Price Agreement is effective this 11th day of June, <br />2018 by the PUBLIC PROCUREMENT AUTHORITY ("Purchaser") and Axon Enterprise, <br />Inc. ("Vendor") based upon the sales and/or service of Law Enforcement Equipment. <br />RECITALS <br />WHEREAS, Purchaser and Vendor entered into a Master Price Agreement on or <br />about October 28, 2015 and by this reference incorporated herein; and <br />WHEREAS, Purchaser and Vendor entered into an Amendment to the Master Price <br />Agreement on or about September 7, 2017; and <br />WHEREAS, Article 4.1 of the Master Price Agreement provides for price <br />adjustments based on manufacturer cost increases; and <br />WHEREAS, Vendor has provided notice of pricing adjustment due .to manufacturer <br />cost increases on or about March 30, 2018; and <br />WHEREAS, X26P, X26 and X2 product lines and related services and warranties are <br />available through the Master Price Agreement; and <br />WHEREAS, new X26P, X26 and X2 products and related services and warranties <br />have become available; and <br />WHEREAS, select products and services on the Master Price Agreement have. <br />become obsolete; and <br />WHEREAS, Vendor has provided notice on or about March 30, 2018 to include the <br />new products, services and warranties at comparable pricing to the products, services and <br />warranties already included in the Master Price Agreement and to remove obsolete products <br />and services; and <br />WHEREAS, Purchaser and Vendor desire that the Master Price Agreement shall <br />be amended in part to reflect the pricing and product adjustment; <br />NOW, THEREFORE, Purchaser and Vendor enter into the following: <br />402 <br />
