City and MP Bradford Associates, L.P., a California limited partnership <br />("Developer") entered into that certain Disposition and Development Agreement dated <br />as of , 2017 (the "DDA") concerning the development of certain real <br />property located in the City of Redwood City, San Mateo County, California and more <br />particularly described in Exhibit A attached hereto (the "Property"). A Memorandum of <br />the DDA was recorded in the Official Records of San Mateo County ("Official <br />Records") on , 20 as Instrument No. , Book <br />Page . Capitalized terms used herein without definition shall have the meaning <br />ascribed to such terms in the DDA. <br />B. Pursuant to Section 5.12 of the DDA, the City is required to furnish the <br />Developer or its successors with a Certificate of Completion upon completion of <br />development of the Project in accordance with the DDA. <br />C. The City has determined that the development of the Project has been <br />satisfactorily completed in accordance with the DDA. <br />NOW, THEREFORE, City hereby certifies as follows: <br />1. Development of the Project has been satisfactorily completed in <br />conformance with the DDA. <br />2. All indemnity, use, maintenance, and nondiscrimination covenants <br />contained in the Loan Agreement shall remain in effect and enforceable in accordance <br />with the DDA. This Certificate does not constitute evidence of Developer's compliance <br />with those covenants in the DDA that survive the issuance of this Certificate, including <br />ATY/AGR/2017.218/RWC — BRADFORD — DDA <br />REV: 09-18-17 VR <br />Page 89 of 94 <br />
