(b) suspend voting rights in the Association; and (c) commence any legal or equitable action for damages, <br />injunctive relief or both. Subject to the provisions of Section 12.8, the determination of whether to impose <br />any of the foregoing sanctions shall be within the sole discretion of the Board. Any legal action may be <br />brought in the name of the Association on its own behalf and on behalf of any Owner who consents; and, <br />except as otherwise provided herein, the prevailing party in such action shall be entitled to recover costs and <br />reasonable attorneys' fees. The Board, in its sole discretion, may resolve or settle any dispute, including any <br />legal action in which the Association is a party, under such terms and conditions as it considers appropriate. <br />(i) If the Board adopts a policy imposing monetary penalties, including any fee on any <br />Member for a violation of the governing documents or the Rules, including any monetary penalty relating to <br />the activity of a Member or Member's Permittee orthe Member's Occupant ortheir Permittee, the Board shall <br />adopt and distribute to each Member, by personal delivery or first-class mail, a schedule of the monetary <br />penalties that may be assessed. The Board may change the schedule from time to time and shall distribute a <br />notice of such changes to the Members in the same manner as the schedule of penalties. <br />(ii) The imposition of any disciplinary action, including, but not limited to, the imposition <br />of monetary penalties or the suspension of use and/or voting privileges except as otherwise noted herein, <br />shall be subject to the following procedures and requirements: <br />(a) Notice of Hearing: Prior to the time the Board meets to consider or impose <br />discipline upon a Member, the Board shall notify the Member, by either personal delivery orfirstclass mail, at <br />least fifteen (15) days prior to the meeting. The notice shall contain, at a minimum, the date, time and place <br />of the meeting, the nature of the alleged violation for which the Member maybe disciplined, and a statement <br />that the Member has a right to attend and may address the Board at the meeting. <br />(b) Hearing: If requested by the Member, the Board shall conduct the <br />disciplinary proceeding in executive session. The Member, the Member's legal counsel, and the <br />Association's legal counsel shall be entitled to attend the executive session meeting. The Board may <br />interview witnesses and other interested parties in executive session. <br />(c) Notice of Action Taken: If the Board elects to impose discipline on the <br />Member, the Board shall notify the Member of the disciplinary action within ten (10) days following the <br />election to impose the disciplinary action. <br />(d) No Forfeiture: Under no circumstances may the Association cause a <br />forfeiture or abridgement of an Owner's right to the full use and enjoyment of the Owner's Lot on account of <br />the failure of the Owner to comply with the provisions of this Declaration, the Articles, Bylaws or Rules, except <br />byjudgment of a court or decision of an arbitrator or on account of a foreclosure or sale under power of sale <br />for failure of the Owner to pay assessments duly levied by the Association. <br />(e) Assessment Charges: The provisions of this Section 5.6.4 do not apply to <br />charges imposed against a Member for reasonable late payment penalties or charges to reimburse the <br />Association for loss of interest and for costs reasonably incurred (including attorneys' fees) in collecting <br />delinquent assessments. <br />5.6.5 Delegating Duties: Except as maybe limited by the Bylaws, the Board may delegate <br />any of the Association's powers and duties to its employees, committees or agents, including a professional <br />management agent. <br />5.6.6 Implementing Special Fees: The Board may implement special fees to reimburse the <br />Association for special costs incurred as a result of actions taken by Owners. Fees not paid in a timely <br />manner may be collected through a reimbursement assessment levied against the Owner's Lot. <br />5.6.7 Dispute Resolution Procedures: The Board shall implement dispute resolution <br />procedures that comply with the requirements of Civil Code sections 5900 through 5920 for disputes between <br />EDNB\53295\996553.3 14 August 16, 2016 <br />
