required by the Project Approvals landward of the first manhole adjacent to the existing tide gate <br />and shall have no obligation to construct stormwater improvements waterward of that manhole. <br />Section 3.12 Subdivision Improvements A¢reement. Developer's obligation to construct <br />or cause the construction of, and post improvement security and provide warranties for, the various <br />on-site and off-site public improvements required by the Project Approvals and this Agreement, <br />including the Blomquist Street Extension, Bay Trail Improvements and upsized water main, shall <br />be set forth in a subdivision improvements agreement ("Subdivision Improvements <br />Agreement") the form of which shall be reasonably acceptable to the City Attorney. The <br />Subdivision Improvements Agreement shall be entered into by the Parties on or before approval <br />of final subdivision maps for the Project. <br />Section 3.13 Public Improvements Acceptance. City shall use good faith, diligent efforts <br />to work with Developer to ensure that all public infrastructure and public improvements required <br />in connection with the Project, including the Blomquist Street Extension improvements <br />(collectively, "Public Improvements") are expeditiously reviewed and considered for acceptance <br />by City on a phased basis as discrete components of the Public Improvements are completed. <br />Developer may offer dedication of Public Improvements in phases and City shall not unreasonably <br />withhold, condition, or delay acceptance of such phased dedications or refuse phased releases of <br />bonds or other security so long as all other conditions for acceptance have been satisfied. Upon <br />acceptance of the Public Improvements, or components thereof, City shall release to Developer <br />any bonds or other security posted in connection with performance thereof, other than warranty <br />period security, to be provided as set forth in the Subdivision Improvements Agreement. Except <br />as otherwise provided in the Subdivision Improvements Agreement with respect to Developer's <br />warranty period obligations, Developer shall have no obligation to maintain the Public <br />Improvements, or components thereof, following City's acceptance thereof. For avoidance of <br />doubt, the tern "Public Improvements" does not include the Bay Trail Improvements or the Maple <br />Frontage Parking. <br />Section 3.14 Sales Tax Point of Sale Designation. Developer shall use good faith efforts <br />to the extent allowed by law to require all persons and entities providing bulk lumber, concrete, <br />structural steel and pre -fabricated building components, such as roof trusses, used in connection <br />with the construction and development of, or incorporated into, the Project, to (a) obtain a use tax <br />direct payment permit; (b) elect to obtain a subcontractor permit for thejob site of a contract valued <br />at Five Million Dollars ($5,000,000) or more; or (c) otherwise designate the Property as the place <br />of use of material used in the construction of the Project in order to have the local portion of the <br />sales and use tax distributed directly to the City instead of through the County -wide pool. <br />Developer shall instruct each of its subcontractors to cooperate with the City to ensure the full <br />local sales/use tax is allocated to City. To assist City in its efforts to ensure that the full amount <br />of such local sales/use tax is allocated to the City of Redwood City, Developer shall provide City <br />with an annual spreadsheet, which includes a list of all subcontractors with contracts in excess of <br />the amount set forth above, a description of all applicable work, and the dollar value of such <br />subcontracts.
