Assignor and the City of Redwood City, a California municipal corporation ("City") have <br />entered into that certain Development Agreement dated as of 2018 ("DA"), which <br />was recorded in the Official Records of San Mateo County on , 2018 as Instrument <br />No. . All defined terms not specifically defined herein shall have the <br />meanings ascribed to them in the DA. <br />B. The DA relates to certain real property located in the City of Redwood City, County of San <br />Mateo, State of California (the "Property"). The Property is more particularly described in the <br />DA. <br />C. Assignor intends to convey [a portion of] the Property [as more particularly described in <br />Exhibit A. attached hereto (the "Transferred Property')] to Assignee. <br />D.
