1 `I X111 YI"Yd.. AMENDMENT NO. 1 TO AGREEMENT FOR GENERAL SERVICES COMMERCIAL PUMP AND MECHANICAL, INC. This Amendment No. 1 (the "Amendment No. 1") is entered into and effective as of D CGff-;.er' 1 , by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Commercial Pump and Mechanical, Inc., a California corporation ("Contractor") (collectively, the "Parties"). RECITALS A. The Parties previously executed that certain General Services Agreement, dated as of November 8, 2018, (the "Original Agreement') (the "Original Agreement' and "Amendment No. 1" are collectively known as the "Agreement'). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Contractor shall provide the additional services set forth in Exhibit A, and such services shall be considered part of the Services for purposes of the Agreement. 2. City shall pay Contractor a not -to -exceed amount of Five Hundred Fifteen Thousand Dollars ($515,000.00) for the completion of all the services described in Exhibit A, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 1, the total amount payable under the Agreement shall be a not -to -exceed amount of Seven Hundred Sixty -Five Thousand Dollars ($765,000.00). 3. Unless terminated earlier, the term of this Agreement will be a period of three years from the Effective Date. 2021. Contractor shall complete all work described in Exhibit A by November 8, All other provisions of the Agreement will remain in full force and effect. 6. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement will include coverage for this Amendment. 7. The individuals executing this Amendment and the instruments referenced in it on behalf of Contractor each represent and warrant that they have the legal power, right and actual authority to bind Contractor to the terms and conditions of this Amendment.
