REV: 10-25-2021 RL AMENDMENT NO. 2 TO AGREEMENT FOR GENERAL SERVICES COMMERCIAL PUMP AND MECHANICAL, INC. This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as of November 8, 2021, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Commercial Pump and Mechanical, Inc., a California corporation (“Contractor”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain General Services Agreement, dated as of November 8, 2018, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of October 11, 2019, (the “Original Agreement” and “Amendment No. 1 are collectively known as the “Agreement”) C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Contractor a not-to-exceed amount of Five Hundred Thirty Thousand Four Hundred Fifty Dollars ($530,450.00) for the completion of all the services described in Exhibit A, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 2, the total amount payable under the Agreement will be a not-to-exceed amount of One Million Two Hundred Ninety-Five Thousand Four Hundred Fifty Dollars ($1,295,450.00). 2. Unless terminated earlier, the term of this Amendment will be a period of two years from the effective date of this Amendment. Including all amendments, through Amendment No. 2, the total term of this Agreement is five years from the Effective Date of this Agreement. 3. Contractor will complete all work described in Exhibit A by November 8, 2023. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement will include coverage for this Amendment. 6. The individuals executing this Amendment and the instruments referenced in it on behalf of Contractor each represent and warrant that they have the legal power, right and actual authority to bind Contractor to the terms and conditions of this Amendment.
