4RIGsAI.4L AMENDMENT NO. 2 TO AGREEMENT FOR GENERAL SERVICES Browning-Ferris Industries of California, Inc. This Amendment No. 2 (the " mendment No. 2") is entered into and effective as of the Jel� day of JW 2019, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Browning-Ferris Industries of California, Inc., a California corporation ("Contractor") (collectively, the "Parties"). RECITALS A. The Parties previously executed that certain General Services Agreement, dated as of November 16, 2018, (the "Original Agreement"). B. The Parties previously executed Amendment No. 1 to the Original Agreement ("Amendment No. 1"), dated as of May 15, 2019 (the "Original Agreement" and "Amendment No. 1" are collectively known as the "Agreement"). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit "A", incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Contractor will provide the additional services set forth in Exhibit "A", and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Contractor a not -to -exceed amount of Four Hundred Ninety - Four Thousand Four Hundred Dollars ($494,400) for the completion of all the services described in Exhibit "A", which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 2, the total amount payable under the Agreement will be a not -to -exceed amount of Seven Hundred Thirty - Four Thousand Four Hundred Dollars ($734,400). 3. Unless terminated earlier, the term of this Agreement will be a period of three years from the Effective Date. 4. Contractor will complete all work described in Exhibit "A" by November 16, 2021, provided that the City may grant extensions consistent with the extension provisions set forth in the Agreement. 5. All other provisions of the Agreement will remain in full force and effect. 6. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement will include coverage for this Amendment.
