6.G. - Page 16 of 40 <br />Customer shall indemnify, defend and hold Provider and its affiliates harmless from any claims arising from or related to <br />any Customer Provided Services. If Customer sells telecommunications services, Customer shall file all required <br />documentation and at all times have the requisite authority with appropriate regulatory agencies respecting the same. <br />8.3 Authorized Representatives. Each party represents to the other that the execution and delivery of the Agreement <br />and the performance of such parties' obligations hereunder have been duly authorized, and that the Agreement is a valid <br />and legal agreement binding on such parties and enforceable in accordance with its terms <br />8.4 Affiliates. Services may be provided to Customer by an affiliate of Provider, but Provider will remain jointly and <br />severally responsible to Customer for the delivery and performance of Services. If Customer transfers the Agreement, in <br />whole or In part, to a Customer Affiliate pursuant to section 7.2 above, or the Customer Affiliate otherwise purchases <br />Services, Customer will be jointly and severally liable for all claims and liabilities related to Services ordered by any <br />Customer Affiliate. <br />8.5 Notices. Any notice to be given to either party under the Agreement will be in writing and deemed received (a) <br />when received, if hand delivered, (b) three days after being sent by certified mail, postage prepaid and return receipt <br />requested, (c) when received, if sent by facsimile during the hours of 9:00 a.m. to 5:00 p.m. (recipient's time) with printed <br />confirmation of receipt, or (d) the next day, when sent by reliable, commercial overnight courier providing receipt of service <br />to a party at such party's address set forth below.
