6.G. - Page 35 of 40 FIRST AMENDMENT TO ORDER FOR INTERNET SERVICES This First Amendment to Order for Internet services (this "Service Order") is entered into as of the date of last signature below (the "Effective date"j, by and between ASTOUND BROADBAND, ICC, a Washington limited liability company ("Provider"), and the CITY OF REDWOOD CITY, a California municipal corporation ("Customer'). BACKGROUND A. Provider and Customer are the parties to that certain Master Services Agreement between Provider and Customer dated September 4, 2013 (the "MSA"), pursuant to which Customer may, from time to time, elect to order certain telecommunications, Internet access, data transport, and related services from Provider. B_ As contemplated by the MSA, Provider and Customer entered into that certain Order for Internet services dated October 29, 2013 (the "Original Order"), pursuant to which Customer receives from Provider a 100 Mbps dedicated internet access circuit as well as 501P address block delivered to Customer's service site located at 1017 Middlefield Road, Redwood City, California 94063 {the "Service Site"). C. On August 21, 2015, Provider and Customer entered into that certain Conduit Occupancy Agreement, pursuant to which Provider receives from Customer the right to use certain utility conduit owned by Customer in exchange for certain in-kind services, as more fully described in Article 6 of the Conduit Occupancy Agreement. D. Two of the in-kind services Provider has cornmitted to delivering to Customer pursuant to the Conduit Occupancy Agreement are (i) to upgrade of the bandwidth of the internet access services provided to Customer's Service Site to a bandwidth of 300 Mbps, and (ii) to provide Customer with an additional block of 501P addresses For use at the Service Site (for a total of 100 IP addresses). F. In partial fulfillment of Provider's obligations under the Conduit Occupancy Agreement, Provider agrees to upgrade Customer's services as described below. F. Capitalized terms use but not defined in this First Amendment shall have the meanings given to them in the MSA, the Original Order or the Conduit Occupancy Agreement, as applicable. AGREEMENT Section 1: Upgrade of Bandwidth. Within thirty (30) days of the Effective Date of this First Amendment, Provider shall upgrade the bandwidth of the internet access services delivered to Customer's Service Site from the existing 100 Mbps circuit to an increased bandwidth of 300 Mbps (the "internet Services"). There shall be no installation charge associated with this upgrade to the Internet Services. As provided in the Conduit Occupancy Agreement, notwithstanding the upgrade of the Internet Services, the monthly recurring charges ("MRC"( for the Internet Services shall remain the same as in the Original Order, namely, One Thousand Four Hundred and No/100 Dollars ($1,400.00) per month. Section 2: Additional IP Address Block. Within thirty (30) days of the Effective Date of this First Amendment, Provider shall make available to Customer, for use at the Service Site, an additional block of fifty (50) IF addresses (the "Additional IF Ad resses" ). As provided in the Conduit occupancy Agreement, there shall be no charge to Customer for the Additional IP Addresses. Section 3: Miscellaneous. Except as expressly amended by this First Amendment, the Original Order remains in full force and effect in accordance with its terms and is hereby ratified and confirmed by the parties. This First Amendment may be executed in multiple counterparts, each of which shad constitute an original and all of which shall constitute one and the same instrument.
