No failure or neglect of either party to insist on strict <br /> performance of any or all of the terms of this Agreement shall be considered as or <br /> constitute a waiver of any term or condition of the Agreement or any performance <br /> required hereunder, or any remedy, damage or other liability arising out of such a <br /> refusal, neglect or liability to perform at any time. <br /> .13. NOTICES, Any and all notices permitted or required to be given <br /> hereunder shall be deemed duly given: (1) upon actual delivery, if delivery is by hand; or <br /> (2) upon delivery into the United States mail if deliver is by postage paid registered or <br /> certified (return receipt requested) mail. ATTORNEY'S FEES.
