<br />personnel to insure their integrity and maintenance of an honest and high <br />standard of service to the public, as well as to reasonably insure that said <br />persons discharge their duties in a courteous and efficient manner. The <br />Personnel necessary to staff the Parking Facilities shall be subject to the <br />Budget as determined by the Parking Manager in his/her discretion from <br />time to time. Contractor shall not employ any persons who are not <br />reasonably necessary for performing the obligations of Contractor under <br />this Agreement. Contractor and Contractor's agents, employees and Sub- <br />Contractors shall avoid conflicts of interest and the appearance of conflicts <br />of interest. <br /> <br />2. Contractor shall assign only reasonably competent personnel to perform <br />services pursuant to this Agreement. In the event that City, in its <br />reasonable discretion, at any time during the term of this Agreement, <br />desires the removal of any person or persons assigned by Contractor to <br />perform services pursuant to this Agreement, Contractor shall remove any <br />such person immediately upon receiving notice from the Parking Manager <br />of the desire of the Parking Manager for the removal of such person or <br />persons to the extent permitted by law and any applicable collective <br />bargaining agreement. <br /> <br />3. The Contractor will provide City with evidence that Contractor's criminal <br />background check has been performed on every employee working at the <br />Parking Facilities, and that the results of the background check have been <br />favorable to the Contractor's satisfaction, prior to the employee working at <br />the Parking Facilities. A form, mutually agreed to by the Director and <br />Contractor, shall be faxed to the City advising that any such new <br />employee has satisfactorily passed Contractor's background check. <br /> <br />B. Compliance with Waqe and Hour Provision, and Labor Standards <br /> <br />Contractor shall comply with all applicable federal, state and local laws and <br />regulations governing minimum hourly rates, maximum hours and other labor <br />standards, including but not limited to those set forth in the Fair Labor Standards <br />Act and the California Labor Code, to the extent applicable. <br /> <br />C. Waqes and Salaries <br /> <br />The manager hired by Contractor pursuant to Section 9.D. below shall be <br />paid a salary subject to approval by Parking Manager. All other personnel <br />employed by Contractor shall be paid on an hourly basis. <br /> <br />D. Personnel <br /> <br />1. For the performance of the duties required under this Agreement, <br />Contractor shall employ at least one person at the management level <br />whose full-time responsibilities will include management and control of <br /> <br />16 <br />
