<br />SECTION 1. TERM <br /> <br />The term of this Agreement shall be from April 1, 2006 to March 31, 2008, <br />inclusive, subject to the provisions of Section 15 of this Agreement. <br /> <br />With Redwood City Council and Contractor approval, (including approval of a <br />new budget) the term of this Agreement may be extended for additional periods <br />of one (1 ) year by written Agreement executed before expiration of the term by <br />Contractor and by the City Manager's designee acting for and on behalf of City <br />(hereinafter "Parking Manager"). <br /> <br />SECTION 2. SITES <br /> <br />Contractor shall operate and maintain the Jefferson Garage, the Marshall <br />Garage, and the Middlefield Lot, unless this Agreement is expanded to include <br />other sites in the future and agreed to in writing by both parties. <br /> <br />SECTION 3. CONTRACTOR'S DUTY TO OPERATE <br /> <br />The Recitals set forth at the beginning of this Agreement are hereby incorporated <br />by this reference. City shall at all times exercise control over the Parking <br />Facilities and the parking operations conducted therein. Contractor shall perform <br />the duties herein required to be performed in a manner which is at all times <br />subordinate to and consistent with the actions, policies and directives of City. <br />Contractor's duties to operate the Parking Facilities shall include, but are not <br />limited to, the following: <br /> <br />A. General <br /> <br />1. Manage and supervise the operation of the Parking Facilities subject to, <br />governed by, conditioned upon, and in accordance with all the terms and <br />provisions of this Agreement. <br /> <br />2. Keep the Parking Facilities open for public parking during such days and <br />hours as may be specified in writing by the Parking Manager. <br /> <br />3. Provide and maintain established standards of public health and <br />cleanliness established by the Parking Manager. <br /> <br />4. Contractor shall use its best efforts to keep all areas of the Parking <br />Facilities in good order and repair and in good and safe condition. <br /> <br />5. Regulate and supervise the parking of motor vehicles in the Parking <br />Facilities in such manner as will facilitate the orderly, efficient, fast and <br />safe parking of such vehicles and prevent obstruction of traffic on <br />adjoining streets. <br /> <br />2 <br /> <br />
