6.E. - Page 19 of 34 <br />9.2 Notices. All notices which shall or may be given pursuant to this Permit shall be in writing and <br />transmitted through first class United States mail, or by private delivery systems, to the following <br />address or such other address of which a party may give written notice: <br />City: <br />City of Redwood City <br />City Engineer <br />1017 Middlefield Road <br />Redwood City, CA 94063 <br />Permittee: <br />Kaiser Permanente <br />Attn: Support Services Administrator <br />901 Marshall St., 3rd Floor <br />Redwood City, CA 94063 <br />9.3 Service of Process. Permittee shall designate a person in California who is authorized to accept <br />service of process on behalf of Permittee. <br />9.4 Emergency Contact. Permittee shall provide an emergency contact telephone number available <br />to City staff 24 hours a day, 7 days a week to receive information regarding any problems or <br />complaints resulting from the Facilities installed pursuant to this Permit. <br />9.S Assignment. Permittee shall not assign or transfer any interest in this Permit nor the performance <br />of any of Permittee's obligations hereunder, without the prior written consent of City (which <br />consent shall not be unreasonably withheld), and any attempt by Permittee to so assign this <br />Permit or any rights, duties or obligations arising hereunder shall be void and of no effect; <br />provided, however, Permittee may assign its rights and delegate its obligations hereunder without <br />first obtaining the City's consent to a corporation, limited liability Permittee, partnership or other <br />business entity wholly controlled or owned by Permittee or to the purchaser of all or substantially <br />all of the Permittee's assets. An assignment shall not be effective until the Assignee agrees in <br />writing to comply with and be subject to all the terms and conditions of this Permit, the Code, and <br />the Zoning Code. This Permit may be assigned in its entirety; however, Permittee shall remain <br />liable for any outstanding obligations incurred prior to such assignment. <br />9.6 Entire Agreement. This Permit contains the entire Permit and understanding between the parties <br />with respect to the subject matter herein. There are no representations, agreements or <br />understandings (whether oral or written) between or among the parties relating to the subject <br />matter of this Permit that are not fully expressed herein. <br />9.7 Amendments. This Permit may not be amended except pursuant to a written instrument signed <br />by both parties. <br />9.8 Severability. If any one or more of the provisions of this Permit shall be held by a court of <br />competent jurisdiction in a final judicial action to be void, voidable, or unenforceable, such <br />provision(s) shall be deemed separable from the remaining provisions of this Permit and shall in <br />no way affect the validity of the remaining portions of this Permit. <br />Page 12 of 24 <br />REV: 09-17-18 PR <br />ATTYIAGR.2018.2201Kaiser - Revocable Encroachment Permit <br />103 <br />
