ORIGINAL AMENDMENT NO. 1 TO AMEND AGREEMENT FOR PROFESSIONAL SERVICES (KNServices, Inc.) This Amendment No. 1 is entered into and effective as of the ?J//_1 day of A1d✓c0,1&L.' , 2018, amending an Agreement for Professional Services dated September 9, 2018, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and KNServices, Inc., a California corporation ("Consultant"), (collectively, the "Parties"). RECITALS A. On September 9, 2018, the Parties executed an Agreement for Professional Services ("Agreement"); and B. In that Agreement, the Parties negotiated and agreed to a Scope of Services and Fee attached to and incorporated by reference as Exhibit "A." The Parties do not wish amend the Scope of Services but do wish to amend the total compensation amount: and C. Consultant has already provided the City with 90 hours at $100/hour. The Parties wish to increase the number of hours to Consultant to manage multiple capital projects to completion Consultant's before the compensation from the Agreement is depleted; and NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. That the Agreement is hereby amended to include as compensation a not -to -exceed amount of Forty -Four Thousand, Five Hundred dollars ($44,500), for an aggregate amount of Fifty -Four Thousand dollars ($54,000). 2. All other provisions of the Agreement will remain in full force and effect. 3. All requisite insurance policies to be maintained by the Consultant pursuant to the Agreement will include coverage for this Amendment. 4. The individuals executing this Amendment and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment.
