14. GOVERNING LAW: This Agreement, including any exhibits, shall for all purposes be deemed subject to the laws of the State of California, and in the event of a lawsuit concerning this Agreement, shall be venued in the County of San Mateo. 15. NOTICES: The name of the persons who are authorized to give written notices or to receive written notice on behalf of RCSD and on behalf of CONTRACTOR under this Agreement are as follows: For RCSD: Redwood City School District Attn: Dr. John Baker Title: Superintendent Address: 750 Bradford St. Redwood City, CA 94063 For CONTRACTOR: City of Redwood City Attn: City Manager 1017 Middlefield Road Redwood City, CA 94063 Except as otherwise stated, all notices to be provided or that may be provided under this Agreement must be in writing and delivered by regular and certified mail. Each party will notify the other immediately of any changes of address that would require any notice or delivery to be directed to another address. 16. TERMINATION: Either parry may at any time terminate this Agreement upon written notice to the other parry. In the event of termination, RCSD shall compensate CONTRACTOR for services satisfactorily provided through the date of termination. 17. COMPLETENESS OF AGREEMENT: This Agreement constitutes the entire understanding of the parties and any changes must be agreed to in a writing signed by both parties.
