<br />21. <br /> <br />Venue <br /> <br />The venue of any suit filed by either Party shall be vested in the state courts of the County of <br />San Mateo, or if appropriate, in the United States District Court, Northern District of California, <br />San Francisco, California. <br /> <br />22. <br /> <br />Election of Remedies <br /> <br />The pursuit by any Party of any specific remedy shall not exclude any other remedy available to <br />the Party. <br /> <br />23. <br /> <br />Conflict of Interests <br /> <br />This Agreement does not prevent either Party from entering into similar agreements with other <br />parties. To prevent a conflict of interest, Consultant certifies that to the best of its knowledge, no <br />City officer, employee or authorized representative has any financial interest in the business of <br />Consultant and that no person associated with Consultant has any interest, direct or indirect, <br />which could conflict with the faithful performance of this Agreement. Consultant is familiar with <br />the provisions of California Government Code Section 87100 and following, and certifies that it <br />does not know of any facts which would violate these code provisions. Consultant will advise <br />City if a conflict arises. <br /> <br />24. <br /> <br />Covenant Aqainst ContinQent Fees <br /> <br />Consultant hereby warrants that Consultant has not employed or retained any company or <br />person, other than a bona fide employee working for Consultant, to solicit or secure this <br />Agreement, and Consultant has not paid or agreed to pay any company or person, other than a <br />bona fide employee, any fee, commission, percentage, brokerage fee, gift, or any other <br />consideration contingent upon or resulting from the award or formation of this Agreement. For <br />breach or violation of this warranty, City shall have the right to annul this Agreement without <br />liability, or at City's discretion, to deduct from the Agreement price or consideration, or otherwise <br />recover, the full amount of such fee, commission, percentage, brokerage fee, gift or contingent <br />fee. <br /> <br />25. <br /> <br />Termination of Aqreement <br /> <br />a. Termination Without Cause <br /> <br />Notwithstanding the provisions of paragraph 9 above, either Party may terminate this <br />Agreement without cause by giving the other Party written notice ("Notice of Termination") <br />which clearly expresses that Party's intent to terminate the Agreement. Notice of <br />Termination shall become effective no less than ten (10) calendar days after a Party <br />receives such notice. After either Party terminates the Agreement, Consultant shall <br />discontinue further services as of the effective date of termination, and City shall pay <br />Consultant for all Services satisfactorily performed up to such date. In ascertaining the <br />services actually rendered to the date of termination, consideration shall be given both to <br />completed work and work in process of completion. <br /> <br />b.
