12.1.3 Commercial Automobile Liability insurance at combined single limits of $1,000,000 per -occurrence for bodily injury and property damage, including owned, non -owned, and hired car coverage; and 12.1.4 "All-risk" property insurance insuring the Facilities and its appurtenant personal property for full replacement costs. Licensee may self -insure this coverage. 12.2 Any Subcontractor(s) hired by Licensee while working hereunder shall endeavor to maintain insurance coverage equal to that required of the Licensee. It is the responsibility of Licensee to assure compliance with this provision. Licensor accepts no responsibility arising from the conduct, or lack of conduct, of the Subcontractor. 12.2.1 With reference to the foregoing insurance requirements, Licensee shall ensure that applicable insurance policies provide that; (a) Licensor shall be included as an additional insured with respect to required General Liability and, Automobile Liability coverage. Licensor's additional insured status shall (i) be limited to bodily injury, property damage or personal and advertising injury caused, in whole or in part, by Licensee, its employees, agents or independent contractors; (ii) not extend to claims for punitive or exemplary damages arising out of the acts or omissions of Licensor, its employees, agents or independent contractors or where such coverage is prohibited by law or to claims arising out of the gross negligence of Licensor, its employees, agents or independent contractors; and, (iii) not exceed Licensee's indemnification obligation under this License, if any. (b) All required liability policies shall contain no cross liability exclusions or insured versus insured restrictions. (c) A waiver of subrogation in favor of Licensor shall be contained in the Workers' Compensation and all required policies. (d) All insurance policies, which include Licensor as an additional insured, must be endorsed to read as primary and non-contributory coverage regardless of the application of other insurance. (e) Required limits may be satisfied by any combination of primary and umbrella liability insurances. (f) Licensee may maintain reasonable and customary deductibles. (g) Unless approved in writing by Licensor, Licensee shall place the Required Insurance with insurers eligible to do business in the State of California and that have a minimum rating assigned by A.M. Best & Company's Key Rating Guide of "A minus" Overall and a Financial Size Category of "V Il".
