but not limited to, the hearing and determination of grievances, disciplinary matters, or <br />matters as to which the Public Employment Relations Board (PERB) has jurisdiction. <br />2. Compensation. <br />The Parties agree that each City will provide the services described in paragraph <br />1 above to the other without charge. <br />3. Term and Termination. <br />This Agreement shall remain in effect from the date it is signed on behalf of the <br />later of the two Parties to do so unless and until terminated as provided in this <br />paragraph. This Agreement may be terminated by either party by a writing addressed <br />to the City Manager of the other, with or without cause, provided only that any hearing <br />for which a hearing officer has been previously designated by a serving City under <br />paragraph 1 of this Agreement above shall be conducted by that hearing officer <br />notwithstanding the termination of this Agreement. The Parties agree to this limitation <br />on their power of termination to avoid the appearance or substance that a requesting <br />City might seek to influence the outcome of a hearing by terminating this Agreement <br />before the matter can be heard. A notice of termination shall be otherwise effective on <br />the date it is received or on such later date as is specified in the notice. <br />4. No Employment Relationship. <br />No employee of either City shall be deemed an employee of the other for any <br />purpose. Specifically, no employee of either City shall be entitled to any benefits, <br />wages, or salary of any kind or description from the other City. <br />5. Liability; Indemnity. <br />The requesting City shall defend (by its City Attorney or other counsel <br />reasonably acceptable to the serving City), indemnify and hold harmless the serving <br />City and its officers, agents and employees (including a designated hearing officer) <br />from any and all losses, claims or liabilities of any kind arising from or related to the <br />services of the serving City hereunder. <br />6.
