6.G. - Page 22 of 238 <br />Article 2. Term; Amendments During Term <br />2.01. Term <br />The term ("Term") of this Agreement shall be twenty five (25) years. The Term shall begin on <br />July 1, 2009, regardless of whether the Effective Date is before or after that date, and shall end <br />on June 30, 2034. Except as provided in Article 9, the term of all Individual Water Sales <br />Contracts shall also begin on July 1, 2009 and end on June 30, 2034. <br />2.02. Extension and Renewal of Term <br />A. In December 2031, the SFPUC may provide written notice to the Wholesale <br />Customers that it is willing to extend the Term of this Agreement. Between January 1, 2032 and <br />June 30, 2032, any Wholesale Customer may accept the SFPUC's offer to extend the Term by <br />providing a written notice of extension to the SFPUC. If such notices of extension are received <br />from Wholesale Customers representing at least two-thirds in number as of June 30, 2032 and <br />seventy five percent (75%) of the quantity of water delivered by the SFPUC to all Wholesale <br />Customers during fiscal year 2030-31, the Term shall be extended for another five (5) years <br />("First Extension Term"), through June 30, 2039. No party to this Agreement which does not <br />wish to remain a party during the Extension Term shall be compelled to do so by the actions of <br />other parties under this section. <br />B. In December 2036, the SFPUC may provide written notice to the Wholesale <br />Customers that it is willing to extend the Term of this Agreement. Between January 1, 2037 and <br />June 30, 2037, any Wholesale Customer may accept the SFPUC's offer to extend the Term by <br />providing a written notice of extension to the SFPUC. If such notices of extension are received <br />from Wholesale Customers representing at least two-thirds in number as of June 30, 2037 and <br />seventy five percent (75%) of the quantity of water delivered by the SFPUC to all Wholesale <br />Customers during fiscal year 2035-36, the Term shall be extended for another five (5) years <br />("Second Extension Term"), through June 30, 2044. No party to this Agreement which does not <br />wish to remain a party during the Extension Term shall be compelled to do so by the actions of <br />other parties under this section. <br />C. After the expiration of the Term, and, if applicable, the Extension Terms, this <br />Agreement may be renewed by mutual consent of the parties, subject to any modifications <br />thereof which may be determined at that time.
