Section 2.1.4 of the Parking Covenant, which set certain requirement for parking rates applicable <br />to for "Public Parking", shall not apply to the City Parking Use, and if Landlord fails to charge <br />any particular rates in connection with the City Parking Use, Landlord shall not be in breach of <br />the Parking Covenant. The foregoing shall not prevent Landlord from charging for use of the <br />Parking Facility by Licensee on weekends, or after 6:00 p.m. on weekdays. <br />3. No Waiver. Except as explicitly set forth herein, nothing contained herein shall <br />be deemed or construed to modify, waive, impair or affect any of the covenants, agreements, <br />terms, provisions or conditions contained in the Lease. <br />4. Binding Effect. This Consent shall not be effective and the City Parking License <br />shall not be valid or binding on Landlord unless and until a fully executed original counterpart of <br />the City Parking License and this Consent are delivered to Landlord. <br />5. Counterparts. This Consent may be executed in any number of counterparts, <br />each of which shall be deemed an original, but all of which when taken together shall constitute <br />but one and the same instrument. <br />6. Signatures. The parties hereto consent and agree that this Consent may be signed <br />and/or transmitted by facsimile, e-mail of a .pdf document or using electronic signature <br />technology (e.g., via DocuSign or similar electronic signature technology), and that such signed <br />electronic record shall be valid and as effective to bind the party so signing as a paper copy <br />bearing such party's handwritten signature. The parties further consent and agree that (1) to the <br />extent a party signs this Consent using electronic signature technology, by clicking "SIGN", such <br />party is signing this Consent electronically, and (2) the electronic signatures appearing on this <br />Consent shall be treated, for purposes of validity, enforceability and admissibility, the same as <br />handwritten signatures. <br />7. Capitalized Terms. All initial capitalized terms not otherwise defined in this <br />Consent shall have the meanings set forth in the Lease.
