PARKING LICENSE AGREEMENT <br />This Parking License Agreement ("Agreement") is made and entered into as of <br />AAZ�-� V; , 2017, ("Effective Date") by and between the BOX, INC., a Delaware <br />corpor on ("Licensor") and the CITY OF REDWOOD CITY, a charter city and municipal <br />corporation ("City"). <br />NOW THEREFORE, in consideration of the mutual covenants and agreements set forth <br />herein and for other good and valuable consideration, the receipt and sufficiency of which are <br />hereby acknowledged, the parties agree as follows: <br />1. LICENSE. <br />Licensor is the "Tenant" under that certain Office Lease (the "Lease") dated September 15, <br />2014, between Licensor and REDWOOD CITY PARTNERS, LLC, a Delaware limited liability <br />company ("Landlord"), and under such Lease is in possession of certain property located at 900 <br />Jefferson Avenue, Redwood City, California, ("Property"). Upon consent of Landlord to this <br />Agreement, Licensor hereby grants to City, and City hereby accepts from Licensor, the non- <br />exclusive right, privilege, and permission to use seventy-five (75) parking spaces in the basement <br />level of the Property's parking garage, the general location and layout of which is shown on <br />Exhibit A. attached hereto and incorporated herein by reference ("License Area"). The use of <br />the License Area by City and Licensor is subject to all of the terms and conditions of the Lease, <br />and as provided in the Lease, the transfer of the right to use such areas is subject to the prior <br />consent of Landlord. <br />2. TERM. <br />The "Term" of this Agreement shall be from month-to-month beginning thirty (30) days <br />following the Effective Date (the "Commencement Date"). <br />3. LIMITATIONS TO LICENSE. <br />3.1 Use. The License Area shall be used for City -owned vehicle and City employee <br />vehicle parking, and for no other purpose. City's use of the License Area shall be limited to <br />seventy-five (75) spaces on the lower level floors on a first come, first served basis. City is <br />prohibited from using any of the electric charging stations on the License Area. Licensor shall <br />have the right to use the License Area at all times for its own purposes, which shall take priority <br />over City's right of use hereunder. City's use of the License Area shall be subject to City's <br />compliance with all of the applicable terms of this Agreement and the Lease with respect to the <br />use of the License Area by Tenant. <br />3.2 Access. Licensor shall create and manage card access keys for use by City. <br />Within thirty (30) days following the Effective Date, City shall provide Licensor with a list of up <br />to seventy-five (75) vehicles (including license plate, car make, and vehicle owner) that will be <br />parking in the License Area. City shall provide updates to the list of vehicles that will be parking <br />in the License Area as City deems necessary. Lost or stolen card keys must be reported within <br />forty-eight (48) hours of discovery of loss or theft.
