8.2 Application of Release. City's release under Section 8.1 above shall extend to <br />and bind all of their respective agents, directors, officers, employees, shareholders, partners and <br />members (both former and current), and each of their successors, assigns and personal <br />representatives. Furthermore, City has consulted with legal counsel of their choice as to the <br />meaning and consequences of waiving the benefits conferred by California Civil Code Section <br />1542, which states that: <br />"A general release does not extend to claims which the creditor does not know <br />or suspect to exist in his favor at the time of executing the release, which if <br />known by him must have materially affected his settlement with the debtor." <br />City hereby waives all rights under California Civil Code Section 1542 and agrees that the <br />release under Section 8.1 above extends to claims not known or expected to exist in City's favor <br />at the time of executing this Agreement. <br />Initials: <br />9. REPAIRS AND MAINTENANCE. <br />Licensor, at Licensor's expense, shall maintain the Property and License Area in good condition <br />and repair. Licensor shall make any required repairs in an expeditious manner after receipt of <br />written notice from City of the need for such repairs. <br />10. ALTERATIONS. <br />No alterations (including temporary or permanent structures, changes and/or additions) shall be <br />made to the License Area by the City. <br />11. ASSIGNMENT AND SUBLETTING. <br />City shall not assign, sublet or otherwise transfer, whether voluntarily or involuntarily or by <br />operation of law, this Agreement, the License Area or any part thereof. Any purported <br />assignment or subletting contrary to the provisions hereof shall be void. <br />12. TERMINATION. <br />Either party may terminate this Agreement by providing sixty (60) days prior written notice to <br />the other party. This Agreement shall be deemed terminated on the date set forth in the written <br />notice. <br />13. MISCELLANEOUS. <br />13.1 Entire Agreement. This Agreement sets forth all the agreements between <br />Licensor and City concerning the Property, the License Area, the building and the common area; <br />and there are no agreements either oral or written other than as set forth herein. <br />13.2 Third Party Beneficiaries.
