6.A. - Page 5 of 27 Reprised Exhibit B THIS FIRST AMENDMENT TO Stormwater Treatment Measures Maintenance Agreement, 600 Bair Island Road, Courtyard Marriot, ("First Amendment") is made and entered into this day of , 2018 ("Effective Date"), by and between Redwood City Hotels, a California limited liability company (`'RC Hotels"), and the CITY OF REDWOOD CITY, a charter city and California municipal corporation ("City"). A. RC Hotels and City entered into that certain Stormwater Treatment Measure Maintenance Agreement dated February 23, 2015 and recorded February 24, 2015 as instrument Nrunber 2015-016170, in the Official Records of the County of San Mateo ("Original Landscape Maintenance Agreement'). B. The Original Stormwater Treatment Measures Maintenance Agreement included references to a legible reduced -scale copy of the site plan showing the stormwater treatment measures that are to be located or constructed on the Property ("Site Plan") and installed and maintained by the agreement as shown on Exhibit B attached to the Original Stormwater Treatment Measures Maintenance Agreement. C. Since the recordation of the Original Stormwater Treatment Measures Maintenance Agreement, several alterations were made during the construction of the stormwater treatment measures which required modifications to the Site Plan. RC Hotels requested these modifications to the stormwater treatment measures, and in doing so was required to alter the Site Plan. D. The revised Site Plan is further detailed on Revised Exhibit B to this First Amendment. NOW, THEREFORE, RC Hotels and the City hereby amend the Original Stormwater Treatment Measure Maintenance Agreement as follows: 1. Exhibit B to the Original Stormwater Treatment Measures Maintenance Agreement is of no further force and effect and is hereby replaced with Revised Exhibit B, attached hereto and incorporated by reference. 2. In all other respects the Original Stormwater Treatment Measures Maintenance Agreement shall remain in full force and effect. 3. This First Amendment may be executed in any number of counterparts which together shall constitute the contract of the Parties. 4. Authority. Each person executing this First Amendment on behalf of a party represents and warrants that such person is duly and validly authorized to do so on behalf of the entity it purports to bind and if such party is a partnership, corporation or trustee, that such partnership, corporation or trustee has full right and authority to enter into this First Amendment and perform all of its obligations hereunder.
