6.A. - Page 11 of 27 <br />Revised Exhibit B <br />IRST AMENDMENT TO LANDSCAPE MAINTENANCE AGREEME? <br />THIS FIRST AMENDMENT TO Landscape Maintenance Agreement, 600 Bair Island Road, <br />Courtyard Marriot, ("First Amendment") is made and entered into this _day of , 2018 <br />("Effective Date'), by and between Redwood City Hotels, a California limited liability company ("RC <br />Hotels"), and the CITY OF REDWOOD CITY, a charter city and California municipal corporation <br />("City"). <br />A. RC Hotels and City entered into that certain Landscape Maintenance Agreement dated <br />February 23, 2015 and recorded February 24, 2015 as instrument Number 2015-016171, in the Official <br />Records of the County of San Mateo {"Original Landscape Maintenance Agreement"). <br />B. The Original Landscape Maintenance Agreement included references to landscaping plans <br />along the Property frontage and within easement areas ("flans"), all of which Plans were approved by the <br />City. The Plans provide for installation of certain landscaping, pedestrian lighting and. irrigation <br />("Improvements") within the project frontage ("Maintenance Area") as the Improvements and <br />Maintenance Area were more specifically shown on Exhibit B attached to the Original Landscape <br />Maintenance Agreement. <br />C. Since the recordation of the Original Landscape Maintenance Agreement, several <br />alterations were made during the construction of the Improvements which required modifications to the <br />Improvements and Maintenance Area. RC Hotels requested these modifications to the Improvements, and <br />in doing so was required to alter the Maintenance Area. <br />D. The revised Improvements and Maintenance Area are further detailed on Revised Exhibit <br />B to this First Amendment. <br />NOW, THEREFORE, RC Hotels and the City hereby amend the Original Landscape <br />Maintenance Agreement as follows: <br />1. Exhibit B to the Original Landscape Maintenance Agreement is of no further force and <br />effect and is hereby replaced with Revised Exhibit B, attached hereto and incorporated by reference. <br />2. In all other respects the Original Landscape Maintenance Agreement shall remain in full <br />force and effect. <br />3. This First Amendment may be executed in any number of counterparts which together shall <br />constitute the contract of the Parties. <br />4. Authority. Each person executing this First Amendment on behalf of a party represents <br />and warrants that such person is duly and validly authorized to do so on behalf of the entity it purports to <br />bind and if such party is a partnership, corporation or trustee, that such partnership, corporation or trustee <br />has full right and authority to enter into this First Amendment and perform all of its obligations hereunder. <br />[Signature Page Follows] <br />Page 2 of 4 <br />REV: 07-09-18 VR <br />ATTYIAGR.Arnend No. 11600 Bair Island Road, Courtyard Marriot <br />17 <br />
