<br />2007 all of which are to be conducted within the Downtown area of the City. As used <br /> <br />herein, the term "first-rate live entertainment" means performances by such entertainers <br /> <br />as Johnny Mathis, Etta James and Lily Tomlin <br /> <br />Grantee shall cooperate with Downtown Redwood City restaurants to develop <br /> <br />promotions and such promotional materials that would encourage patronage of those <br /> <br />businesses at such time as the above-described performances are scheduled. <br /> <br />Promotional materials may include tables, tents, posters, website links and handbills. <br /> <br />Grantee has agreed to donate tickets to Grantor, the aggregate value of which <br /> <br />shall be Two Thousand Five Hundred Dollars ($2,500), for performances produced by <br /> <br />Grantor under this Grant Agreement for distribution to private non-profit organizations <br /> <br />within the City. <br /> <br />3. <br /> <br />ACKNOWLEDGEMENT OF GRANTOR. Grantee shall ensure that <br /> <br />Grantor is recognized as a supporter of Grantee's series of live performances in all <br /> <br />promotional materials including, but not limited to, posters, handbills, printed <br /> <br />advertisements, event guides, press releases and public announcements and services. <br /> <br />4. <br /> <br />GENERAL CONDUCT. Grantee agrees: (i) to conduct business in a <br /> <br />manner that reflects favorably at all times on the good name, goodwill and reputation of <br /> <br />the City and Grantor; (ii) to avoid deceptive or unethical practices that are or might be <br /> <br />detrimental to the City, Grantor or the public including, but not limited to, disparaging <br /> <br />communication regarding the City or Grantor; (iii) to refrain from publishing or <br /> <br />communicating deceptive advertising and/or promotional materials; and (iv) to make no <br /> <br />representations, warranties or guarantees with respect to City or Grantor. <br /> <br />I:REDEVELOPMENT/2006 STAFF REPORTS/O4-2006/Montalvo Grant <br /> <br />2 <br />
