<br />12. <br /> <br />WAIVER. No failure or neglect of either party to insist on strict <br /> <br />performance of any or all of the terms of this Agreement shall be considered as or <br /> <br />constitute a waiver of any term or condition of the Agreement or any performance <br /> <br />required hereunder, or any remedy, damage or other liability arising out of such a <br /> <br />refusal, neglect or liability to perform at any time. <br /> <br />13. <br /> <br />NOTICES. Any and all notices permitted or required to be given <br /> <br />hereunder shall be deemed duly given: (1) upon actual delivery, if delivery is by hand; or <br /> <br />(2) upon delivery into the United States mail if deliver is by postage paid registered or <br /> <br />certified (return receipt requested) mail. In the event Grantee is dissolved, either <br /> <br />voluntarily or involuntarily, or otherwise ceases to carry out the activities for which the <br /> <br />Agreement was made, all supplies and equipment purchased with the Grant shall be <br /> <br />transferred to Grantor and shall become the property of Grantor. <br /> <br />15. <br /> <br />ATTORNEY'S FEES.
