<br />completed and maintained in full compliance with the requirements of Section 1 of <br /> <br />the Landscaping Agreement, the requirements of this Section 4 are met. Except as <br /> <br />expressly provided herein, Flatirons, its successors and assigns have no other or <br /> <br />further obligations whatsoever under the Development Agreement with respect to <br /> <br />Parcel B. <br /> <br />5. <br /> <br />Ratification and Confirmation of Development Agreement. <br /> <br />The Development Agreement and all covenants, agreements, terms and <br /> <br />conditions thereof not modified by this Amendment remain in full force and effect <br /> <br />and are hereby in all respects ratified and confirmed, and the Development <br /> <br />Agreement as amended by this Amendment is in all respects ratified and confirmed. <br /> <br />6. <br /> <br />Certain Obligations Non-Recourse. <br /> <br />Flatirons' obligations hereunder are intended to be the obligations of the <br /> <br />limited partnership and of the corporations which are the managing general partner <br /> <br />and any other general partner thereof only, and no recourse for the payment of any <br /> <br />amount due under this Agreement or for any claim based thereon or otherwise in <br /> <br />respect thereof, shall be had against any limited partner of Flatirons or any <br /> <br />incorporator, shareholder, officer, director or affiliate, as such, past, present or future <br /> <br />of such corporate managing general partner or other general partner or of any <br /> <br />corporate limited partner or of any successor corporation to such corporate <br /> <br />managing general partner or other general partner or any corporate limited partner <br /> <br />of Flatirons, or against any direct or indirect parent corporation of such corporate <br /> <br />managing general partner or other general partner or of any limited partner of <br /> <br />Flatirons or any other subsidiary or affiliate of any such direct or indirect parent <br /> <br />-6- <br /> <br />MBW /DAAMEND3.DOC <br />
