which encumbered certain real property owned by Flatirons and described in Exhibit

J to the Development Agreement (the "Property").

B.

On the date of recordation of the Development Agreement, Redwood

Shores, Inc. ("RSI"), was the owner of three common area lots (the "Old Common

Area Lots") which were not encumbered by the Development Agreement.

Subsequent to the recordation of the Development Agreement, RSI conveyed the

Old Common Area Lots to the Shores Business Center Association (the

" Association").

c.

On February 10, 1997, the City approved a final subdivision map (the

"Final Map") for the Property and the Old Common Area Lots which was filed for

record in the official records of San Mateo County on March 27, 1997 in Maps,

Volume 27, pages 86-89. Upon the recordation of the Final Map, the Property and

the Old Common Area Lots were resubdivided into 14 parcels, of which five parcels

(Lots A through E as shown on the Final Map) were new common area lots (the

"New Common Area Lots") replacing the Old Common Area Lots. Concurrently

with recordation of the Final Map, the Association conveyed the Old Common Area

Lots to Flatirons, and Flatirons conveyed the New Common Area Lots to the

Association so that the ownership of each corresponded to the resubdivision of the

Property.

D.

On April 15, 1998, the City, Flatirons, and Electronic Arts entered into

the First Amendment to Development Agreement (the "First Amendment") dated

April 15, 1998, recorded on April 15, 1998 as Document No. 98-054809 in the Official

-2-

2DAAMND8.DOC
