Agreement for HdL Services Exhibit 8 — Compensation <br />adjusted to include any amounts paid for any additional City licenses or permits which <br />were required for this service during the term of this agreement. <br />1.3. Implementation - The implementation fee covers all efforts involved for installation and <br />configuration of the software. This includes pre -installation, process evaluation and best - <br />practice recommendations, one session of "go live, as -built' training for CITY staff, <br />installation support, design and programming of standard forms and reports, and <br />configuration of the software. <br />1.4. Documentation Deliverable: HdL will, prior to go -live, and available during training, <br />deliver to CITY user documentation detailing the operational steps required for <br />successful system usage for each user type and use function. Documentation is to be <br />delivered in editable electronic format, Microsoft Word preferred, such that future <br />changes to the software can easily be reflected in the user documentation. <br />I.S. Data Conversion — Data will be converted from CITY provided source files and may <br />require several iterations until the data can be successfully imported into the Prime <br />solution. HdL provides up to 30 hours of data conversion work. Above 30 hours, any data <br />conversion work is billed on a time and material basis. <br />1.6. Travel Expenses - Travel and lodging expenses are billed at cost and apply to all <br />meetings; including process, pre -installation, installation, training, and support where <br />HdUs overnight presence is required and pre -approved. HdL is dedicated to conserving <br />public funds and ensures any travel costs are indeed required and reasonable. <br />1.7. Customizing Services - The software is a table-driven system and has been developed to <br />meet almost all of the needs of a City. However, should the need occur, HdL is available <br />to provide custom enhancements to the software on a pre -determined time and material <br />basis. No work shall be performed without prior written approval of CITY. <br />1.8. Payment Schedule — CITY will pay all uncontested invoices within 45 days of receipt. <br />Compensation for the contract amount shall be as follows: <br />1.8.1. One-time project costs and the first year Software Use Fee. HdL shall invoice <br />CITY for 60% of the total cost upon agreement execution. HdL shall invoice CITY for <br />30% upon system go -live. HdL shall invoice CITY for 10% upon Final Acceptance as <br />defined in Exhibit A — Scope of Services. <br />1.8.2. Travel Expenses. Travel and lodging expenses are billed at cost as they are <br />incurred. Travel expenses shall be due and payable within 45 days of the billing <br />date. Invoices for travel expenses will include copies of receipts being invoiced for. <br />Travel expenses are to be pre -approved by CITY prior to HdL booking the expenses. <br />1.9. Disputes - If any invoice delivered for software or service does not meet the <br />terms/expectations/tasks/deliverables in this Agreement, CITY will provide HdL with <br />written notice within thirty (30) days of receipt of the applicable invoice. The written <br />notice must contain reasonable detail of the issues disputed so that HdL can confirm the <br />issue and respond with a justification, an adjustment to the invoice, or a proposal <br />addressing the issues. Both parties will work collaboratively to develop a plan for each to <br />resolve the issues. Invoices being disputed will not incur late charges or penalties while <br />both parties work towards resolution. <br />2. Payment Processing Services - HdL will provide City with eCheck, credit and debit card <br />payment processing (merchant) services under the Convenience Fee Model set forth below. <br />HdL reserves the right to not accept any payment type in situations where doing so may be in <br />violation of the rules and regulations governing convenience fees. <br />REV: 02-28-19 PR <br />ATTY/AGR.2019.049/HDL Prime Business License & TOT Software <br />
