FIRST AMENDMENT TO LEASE AGREEMENT <br />(CEMEX Construction Materials Pacific, LLC) <br />For CEMEX Imported Aggregates Terminal Area <br />THIS FIRST AMENDMENT TO LEASE AGREEMENT (the "First Amendment"), <br />is made and entered into this day of , 2019, by and between the <br />City of Redwood City, a municipal corporation of the State of California, acting by and through <br />the Board of Port Commissioners of the City of Redwood City ("Landlord" or "Port"), and <br />CEMEX Construction Materials Pacific, LLC, a Delaware limited liability company ("Tenant"). <br />Landlord and Tenant are sometimes individually referred to as "Party" and collectively referred <br />to as "Parties." <br />RECITALS <br />WHEREAS, the Parties entered into that certain Lease Agreement dated June 28, 2017 <br />(the "Lease") with respect to the real property described in Paragraph 1 of the Lease; and <br />WHEREAS, the Parties desire to amend the Lease to adjust the timeline under which <br />Tenant must either relocate the existing Conveyor or construct a new Conveyor on the Relocated <br />Temporary Easement. <br />WITNESSETH: <br />Landlord and Tenant for the consideration hereinafter described, and for good and <br />valuable consideration the receipt and adequacy of which are hereby acknowledged, covenant <br />and agree as follows: <br />HI <br />{00037509;2 }; fxs 02 05 19; rev 02/24/19 — 1 — <br />Ord: P-276 <br />
