EXHIBIT A <br />Scope of Services <br />William Euphrat Municipal Finance, Inc. will: <br />1. Review and comment, as appropriate, on all legal and financial documents <br />associated with a Water Infrastructure Finance and Innovation Act ("WIFIA") loan <br />and the Wastewater Revenue Notes; <br />2. Provide advice in connection with such documents and any related decisions the <br />City is asked to make in connection with the WIFIA loan and the Wastewater <br />Revenue Notes; <br />3. Review recommendations and financial analyses made by the Silicon Valley <br />Clean Water ("SVCW") municipal advisor and note underwriter and provide <br />analysis thereof to City in accordance with Municipal Securities Rulemaking <br />Board ("MSRB") rules and regulations; <br />4. Prepare staff reports in connection with the WIFIA loan and the Wastewater <br />Revenue Notes; and <br />5.
