6.A. - Page 4 of 9 <br />AMENDMENT NO. 2 TO EXTEND AND AMEND AGREEMENT FOR <br />PROFESSIONAL SERVICES <br />(David J. Powers & Associates, Inc.) <br />This Amendment No. 2 is entered into and effective as of the day of <br />, 2019, extending and amending the agreement dated October 21, <br />2016, by and between the City of Redwood City, a charter city and municipal <br />corporation of the State of California ("City"), and David J. Powers & Associates, Inc., a <br />California corporation ("Consultant"), (collectively, the "Parties") for the Veterans <br />Memorial Senior Center/YMCA Joint Project. <br />RECITALS <br />A. On October 21, 2016, the Parties executed a Professional Services <br />Agreement for the preparation of an Environmental Impact Report ("Original <br />Agreement"); and <br />B. On May 18, 2017, the Parties executed Amendment No. 1 to the <br />Agreement for Professional Services for the preparation of an Environmental Impact <br />Report as part of the Veterans Memorial Senior Center/YMCA Joint Project <br />("Amendment No. 1"; the Original Amendment and Amendment No. 1 are collectively <br />referred to herein as the "Agreement"); and <br />C. The Parties have negotiated and agreed to amendments including a <br />supplemental scope of work and fee schedule, which is attached to and incorporated <br />herein by reference as Exhibit "A," Scope of Services and Fee. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. In addition to those services contained in the Agreement, Consultant will <br />provide those services described in Exhibit "A." With this Amendment, the total <br />Agreement amount shall not exceed TWO HUNDRED AND SIX THOUSAND FOUR <br />HUNDRED AND FIFTY-SEVEN DOLLARS ($206,457). <br />2. City will pay Consultant for all work associated with those services <br />described in Exhibit "A" on a time and materials basis not -to -exceed EIGHTY-ONE <br />THOUSAND SIX HUNDRED FIFTY-FIVE DOLLARS ($81,655), for an aggregate <br />amount of ($206,457). Consultant will provide City, on a monthly basis, copies of <br />invoices sufficiently detailed to include hours performed, hourly rates, and related <br />activities and costs for approval by City. <br />2019. <br />3. Consultant will complete all work described in Exhibit "A" by October 10, <br />4. All other provisions of the Agreement will remain in full force and effect. <br />ATTY/AGR.Amend No. 2 /David J.
